BY-LAWS OF MARSHFIELD YOUTH FOOTBALL
ASSOCIATION
ARTICLE 1. NAME and LOCATION.
This organization
shall be called the Marshfield Youth Football Association. The location shall
be Marshfield, Massachusetts 02050.
ARTICLE II. PURPOSE OF CORPORATION.
The purpose of this Association shall to be to raise funds for, equipment,
permits and any other expenses that might occur on a daily basis. And to take
care of any other business that comes before it to keep Marshfield Youth Football
in the Town of Marshfield.
ARTICLE III. MEETINGS AND MEMBERSHIP.
Section
1. The Annual meeting of the Association shall be held each year in January
prior to the fourth Monday of the month, and the reporting year for accounting
purposes shall be the fiscal period beginning January 1st and ending December
31st of each year.
Section 2. The membership of the Association
shall consist of four Officers and five Directors.
Section 3. At
all monthly meetings, five members of the Association shall constitute a quorum
for the transaction of business.
Section 4. At all monthly meetings,
annual or special meetings, a phone conference with a Director will be accepted
for meeting the quorum By-Law.
Section 5. The President may call
special meetings at any time and by the secretary when he or she shall be requested
to do so by four or more Directors. Meetings may be called upon by a phone call
of notification postmarked or delivered at least three days in advance of the
meeting being called.
Section 6. The Officers of the Board of Directors
shall meet on or before the fourth Monday of each month.
ARTICLE IV.
OFFICERS.
Section 1. The officers of the Association shall
consist of President, Vice-President, Treasurer, Secretary, and seven other directors.
Section 2. The President, Vice-President, Treasurer, and Secretary
shall be elected every year to the Board of Directors.
Section 3.
The three divisions one Head Coaches and the three division five head coaches
shall serve at the discretion of the Board of Directors. The Board of Directors
shall vote to reaffirm each Coach at the Annual Meeting.
Section 4.
The officers elected at the first meeting for organization shall continue until
their successors are elected. Otherwise, all officers shall continue in office
until the next Annual Meeting.
ARTICLE V. POWERS AND DUTIES OF OFFICERS.
Section 1. President. The President shall preside at all meetings
of the Association. In the event of his absence or disability, the Vice-President
shall preside and in the absence or disability of both the President and Vice-President,
the Treasurer shall preside.
Section 2. The President and Treasurer
shall execute and deliver all Financial decisions voted on by the Board of Directors
and other written instruments issued by the Association In the event of the absence
or illness of either of said officers to perform the aforesaid duties, the Directors,
by a majority vote at a Special meeting shall designate a Director to act for
such officers during any such period of absence or illness.
Section
3. In any meeting of the Association the President may vote only in the event
of a tie.
Section 4. Vice-President. In the absence of the President,
the Vice-President shall assume the responsibilities of the President's office,
excepting as otherwise provided herein.
Section 5. Treasurer. The
Treasurer shall perform the duties usually incident to the office under the supervision
of the Board of Directors. He or She shall have the custody of all the financial
books and papers. He or She shall sign all checks for the disbursing funds of
the Association. At each Annual Meeting He or She shall render a report of the
financial conditions of the Association. He or She shall render financial reports
to the Directors, whenever requested, and shall give them full information as
to the financial condition of the Association at all times. At the termination
of his term of office, He or She shall turn over all property of the Association
held by him or her as Treasurer to his or her successor in the office.
Section
6. Secretary. The Secretary shall attend all meetings of the Association,
and shall record the proceedings thereof. He or She shall notify the members of
the Association of the Annual and Special meetings in a manner required by the
By-Laws and shall perform such other duties as the Board of Directors, from time
to time, may prescribe. In the absence of the Secretary at a meeting, a Secretary
Pro-Tempre may be chosen.
Section 7. The Directors shall have charge
of the prudential affairs of the Association They shall have the care and management
of the property of the Association, and shall have full power to carry out and
execute the purpose for which the Association was formed. They are empowered by
a vote of at least four of the members of the Association to authorize the President
and Treasurer to purchase or otherwise acquire any personal property for the Association.
The Directors may from time to time appoint such officers and committees from
their membership as shall be necessary and advisable to fulfill the objects of
the Association. If a Director is unable to attend a meeting, then a Fax, E-mail
or any other written instrument shall constitute a legal binding vote. Thereafter
all Directors shall continue in office until the next Annual Meeting and until
there successors are elected.
ARTICLE VI. AMENDMENTS.
There
By-Laws may be added to, amended, or repealed at any meeting of the Association
by an affirmative vote of not less than four of the members present, provided
such proposed addition, amendment, or repeal shall have been submitted to the
members in writing, in the notice of the meeting, at least seven days before the
date of the meeting.
